About the Brochure
Form ADV is the uniform form used by investment advisers to register with both the U.S. Securities and Exchange Commission and state securities authorities. Part 2A — the firm brochure — describes our advisory business and is delivered to clients in plain English.
Material Changes
This brochure was last updated in March 2026. Material changes since the prior annual amendment are summarized in Item 2. We will deliver an interim summary to existing clients within 120 days of the close of any fiscal year in which a material change occurs.
Fees & Compensation
Procul Capital generally charges a management fee on assets under management plus a performance-based fee, both of which are negotiable based on account size, complexity, and relationship. Item 5 of the brochure contains the full fee schedule and an explanation of how compensation is calculated.
Conflicts & Disciplinary History
Items 9 through 11 disclose any disciplinary events involving the firm or its supervised persons, as well as material conflicts arising from co-investment, side-by-side management, or other business activities. The firm has no reportable disciplinary events as of the latest filing.
